Terms & Conditions

These Terms & Conditions ("Terms") constitute a binding agreement between FluidifyAI, a proprietary brand of Brendwen LLP ("Company", "we", "us", or "our"), and any person or entity that accesses or uses the Company's website at fluidify.ai or the FluidifyAI SRE Suite, comprising Regen, Neuri, Reflex, and Gills(together, the "Services"). By accessing or using the Services, the User agrees to be bound by these Terms.

Where the User does not agree to these Terms, the User must not access or use the Services.

1. Definitions

• "User", "you", or "your" means any person or entity accessing or using the Services.
• "Open-Source Software" means the Regen codebase licensed under AGPLv3.
• "Self-Hosted Deployment" means an instance of the Services operated on infrastructure owned or controlled by a User.

2. Description of Services

2.1 The Company develops the FluidifyAI SRE Suite, comprising four modules: on-call management (Regen), root-cause analysis (Neuri), auto-remediation (Reflex), and a conversational interface across the stack (Gills).

2.2 Regen is available under a free, open-source, self-hosted tier. Neuri, Reflex, Gills, and extended usage of Regen are made available under paid Pro, Business, and Enterprise subscription tiers, each subject to the pricing and terms in effect at the time of subscription.

2.3 Subscription fees are billed in advance and are subject to the Company's Refund Policy.

3. Open-Source Software

3.1 The Regen codebase is licensed under the GNU Affero General Public License v3.0 ("AGPLv3"). Use of a self-hosted, open-source deployment is governed by the AGPLv3 and not by these Terms.

3.2 These Terms govern the User's use of:

• the Company's website (fluidify.ai);
• any Company-hosted or managed instance of the Services, including the Pro, Business, and Enterprise tiers;
• Neuri, Reflex, and Gills, which are proprietary software licensed under the applicable subscription agreement and not under AGPLv3; and
• any application programming interface or software development kit provided by the Company outside the open-source codebase.

4. Acceptable Use

4.1 The User shall not use the Services to:

• violate any applicable law or regulation;
• infringe the intellectual property or privacy rights of any person;
• distribute malware, spam, or harmful content;
• attempt to obtain unauthorised access to any system or data;
• interfere with or disrupt the integrity or performance of the Services; or
• engage in conduct that is defamatory, abusive, or otherwise harmful to third parties.

4.2 The Company reserves the right to suspend or terminate a User's access to the Services for breach of this Section, without prior notice.

5. Intellectual Property

5.1 The FluidifyAI name, logo, and website content, including Open-Source Software, are the intellectual property of the Company. The User shall not use the Company's name, logo, or branding without the Company's prior written consent.

5.2 Rights in the Open-Source Software are governed exclusively by the AGPLv3.

6. Disclaimer of Warranties

6.1 The Services, including the website and any accompanying software, are provided on an "as is" and "as available" basis, without warranty of any kind. The Company does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. To the fullest extent permitted by applicable law, the Company disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 Where a User operates a Self-Hosted Deployment of any module of the Services, that User is solely responsible for its operation, security, and data. The Company has no visibility into, and no control over, Self-Hosted Deployments.

7. Limitation of Liability

7.1 To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the use of the Services, even where the Company has been advised of the possibility of such damages.

7.2 The Company's aggregate liability to a User for any claim arising out of these Terms shall not exceed the greater of: (a) the amount paid by that User to the Company in the twelve (12) months preceding the claim; or (b) INR 1,000.

8. Third-Party Links and Services

8.1 The Services may contain links to third-party websites or services. The Company is not responsible for the content, privacy practices, or availability of such third-party sites, and the inclusion of a link does not constitute an endorsement.

9. Amendments

9.1 The Company may amend these Terms from time to time. The date of the most recent revision is indicated at the top of this page. Continued use of the Services following the posting of an amendment constitutes acceptance of the amended Terms. The Company will make reasonable efforts to notify Users of material changes.

10. Termination

10.1 The Company may suspend or terminate a User's access to the Services at any time, with or without cause or notice. A User may discontinue use of the Services at any time. Provisions that by their nature should survive termination, including limitations of liability, disclaimers, and governing law, shall survive.

11. Governing Law and Dispute Resolution

11.1 These Terms are governed by, and shall be construed in accordance with, the laws of India, including the Indian Contract Act, 1872, and the Information Technology Act, 2000, without regard to conflict of laws principles.

11.2 Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of Noida, India. Users are encouraged to first contact the Company at contact@fluidify.ai to resolve any dispute informally prior to commencing formal proceedings.
